Terms of Service

1. Agreement

These terms are between you and SHIRO Technologies LLC, a Texas limited liability company at 5080 Spectrum Drive, Suite 575E, Addison, TX 75001 ("we", "us"). By creating a Vellum account or using the app, you agree to them. If you do not agree, please do not use Vellum.

2. Who may use Vellum

You must be at least 13 years old. If you are under 18, you may use Vellum only with the involvement of a parent or guardian. Vellum is offered in the United States only.

3. Your account

You are responsible for keeping your login credentials secure and for activity under your account. Tell us promptly at support@shiroapps.com if you believe your account has been accessed without your permission.

4. Your content

Your notes belong to you. We claim no ownership of anything you write in Vellum.

You grant us only the narrow permission we need to run the service: to store, back up, transmit, and display your notes to you and to devices you sign in on. That permission ends when you delete the content or your account. We do not use your notes to train machine learning models, and we do not use them for advertising.

5. Acceptable use

Do not use Vellum to store or distribute unlawful content, to infringe someone else's rights, to attack or overload the service, to try to gain unauthorized access to other accounts or our systems, or to resell the service. We may suspend or terminate accounts that do.

6. Plans, billing, and cancellation

• Free — $0, on one device.
• Pro Monthly — $2.99 per month, recurring.
• Pro Yearly — $24 per year, recurring.
• Lifetime — $39 one time, for as long as we operate Vellum.

Prices are in U.S. dollars. Payments are processed by our payment processor; your card details go to them, not to us. Subscriptions renew automatically at the then-current price until you cancel. You can cancel at any time and keep Pro through the end of the period you already paid for. Except where the law requires otherwise, payments are not refundable — but if something went wrong, write to support@shiroapps.com within 14 days of the charge and we will make it right.

We may change prices for future periods with at least 30 days' notice by email. Applicable sales tax may be added.

7. Availability

We work to keep Vellum available, but we do not promise uninterrupted service. We may change, suspend, or discontinue features. If we discontinue Vellum entirely, we will give you at least 60 days' notice and a way to export your notes.

8. Ending the agreement

You may stop using Vellum and delete your account at any time. We may suspend or terminate your access if you breach these terms or if we are required to by law. On termination you lose access to the service; export your notes first if you want to keep a copy.

9. Disclaimers

Vellum is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent the law allows.

Keep your own backups of anything you cannot afford to lose. Vellum's export feature exists for exactly this reason.

10. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost data. Our total liability for any claim relating to Vellum is limited to the greater of the amount you paid us in the 12 months before the claim, or $50. Some states do not allow certain limitations, so parts of this may not apply to you.

11. Changes to these terms

We may update these terms. For material changes we will give notice in the app or by email at least 30 days before they take effect. Continuing to use Vellum after that means you accept the updated terms.

12. Governing law

These terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Disputes will be brought in the state or federal courts located in Dallas County, Texas, and you and we consent to their jurisdiction. Nothing here prevents either of us from bringing a claim in small claims court.
